Terms of Service

These Terms of Service ("Terms") govern your use of Mortiqo ("Service"), provided by Operlo AI ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorised to act on behalf of an FCA-regulated firm or individual to use Mortiqo. By signing up, you confirm you meet these requirements.

2. Your Account

You're responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at hello@mortiqo.com if you suspect unauthorised access.

3. Subscription and Billing

  • Mortiqo is a subscription service charged monthly at £79 per user.
  • New users receive a 7-day free trial. A valid payment method is required to start the trial.
  • Your card will be charged £79 at the end of the trial unless you cancel before then.
  • Subscriptions auto-renew monthly. You can cancel anytime from your account.
  • Refunds are not provided for partial months. If you cancel mid-month, you retain access until the end of the current billing period.
  • Payments are processed by Dodo Payments. By subscribing, you also agree to Dodo's terms.

4. Acceptable Use

You agree not to:

  • Use Mortiqo for any unlawful purpose
  • Upload viruses, malware, or harmful code
  • Attempt to gain unauthorised access to our systems or other users' data
  • Reverse-engineer, copy, or resell the Service
  • Use Mortiqo to send spam or unsolicited communications
  • Process data of clients without their lawful consent under UK GDPR

5. Your Data and Client Data

You own your data and your clients' data. You grant us a limited licence to process this data solely to provide the Service. We act as a data processor on your behalf for client data; you are the data controller.

6. AI-Generated Content and Compliance

Mortiqo uses AI to assist with fact-finds, compliance checks, suitability reports and related tasks. This is software guidance, not regulated advice.

  • AI outputs are intended to support your professional judgement, not replace it.
  • Final responsibility for advice, compliance, and regulatory obligations sits with you and your network/compliance function.
  • We make reasonable efforts to keep compliance references accurate but do not guarantee they are current or complete.
  • You are responsible for reviewing all AI-generated content before relying on or sharing it.

7. FCA Authorisation

Mortiqo is a technology platform. We are not FCA-authorised and do not provide regulated advice. You confirm you (or the firm you represent) are appropriately authorised or registered with the FCA where required.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may schedule maintenance with reasonable notice. We're not liable for losses arising from temporary unavailability.

9. Changes to the Service

We may update or modify the Service, including features and pricing, with reasonable notice. Material changes affecting your subscription will be communicated at least 30 days in advance.

10. Termination

  • You may cancel anytime from your account.
  • We may suspend or terminate accounts that breach these Terms.
  • On termination, your access ends and data is retained for 30 days for export, then permanently deleted (except where retention is required by law).

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind.
  • We are not liable for indirect, consequential, or loss-of-profit damages.
  • Our total liability under these Terms is limited to the amount you paid us in the 12 months preceding the claim.
  • Nothing in these Terms limits liability for death, personal injury, fraud, or anything that cannot be excluded by law.

12. Indemnity

You agree to indemnify us against claims arising from your misuse of the Service, breach of these Terms, or violation of any law or third-party rights.

13. Intellectual Property

Mortiqo, including all software, designs, branding, and documentation, is owned by Operlo AI. You receive a limited, non-transferable licence to use it under these Terms. You may not copy, modify, or distribute the Service.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

15. Changes to Terms

We may update these Terms occasionally. We'll notify you of material changes by email or in-app notice at least 30 days before they take effect.
